HangzhouHirisunTechnologyIncorporated(hereinafterreferredtoas"Hirisun")intendstoabsorb and merge HangzhouTurbine Power Group Co., Ltd. (hereinafter referred to as the"Transaction")throughtheissuanceofA-sharestoallshareholdersofHangzhouTurbinePowerGroupCo.,Ltd.(hereinafterreferredtoas"HTC"or"theCompany").
OnSeptember26,2025,theCompanyreceivedtheApprovalforRegistrationbytheChinaSecurities Regulatory Commission for Hangzhou Hirisun Technology Incorporated'sShare-exchangeAbsorptionMergerofHangzhouTurbinePowerGroupCo.,Ltd.(No.2141[2025]CSRCApproval)issuedbytheChinaSecuritiesRegulatoryCommission(hereinafterreferredtoasthe'CSRCApproval').ThemaincontentsoftheCSRCApprovalareasfollows:1.AgreedtotheregistrationapplicationforHangzhouHirisunTechnologyIncorporatedtoabsorb and merge Hangzhou Turbine Power Group Co., Ltd. by issuing an additional1,174,904,765shares.
2.ThemergerandacquisitionthistimeshallbecarriedoutstrictlyinaccordancewiththerelevantapplicationdocumentssubmittedtotheShenzhenStockExchange.3.Itshallfulfillyourinformationdisclosureobligationsinatimelymannerinaccordancewithrelevantregulations.
4. It shall handle the procedures related to this merger in accordance with relevantregulations.
5.Thisapprovalisvalidfor12monthsfromthedateofissuance.
